TERMS AND CONDITIONS FOR WAZOBIA ACADEMY

The Terms and Conditions herein stated constitute a legally binding agreement made between you, whether personally or on behalf of an entity and WE Entertainment Productions Ltd (Wazobia Academy), concerning your access to and use of the Wazobia Academy website and Wazobia Academy APP (Wazobia Academy App - www.wazobiaacademy.com) as well as any other media form, media channel, or mobile application related, linked, or otherwise connected thereto (collectively referred to as “the Site/APP”) The Site/APP also provides a personalized subscription service that allows subscribers to access educational, cultural, entertainment and other related services (“Wazobia Academy Content”) over the internet, computers and other devices now known or hereafter devised. You agree that by accessing the Site/APP, you have read, understood, and agree to be bound by the Terms of Use stated herein. If you do not agree with all these Terms of Use, then you are expressly prohibited from using the Site/APP and you must discontinue use immediately. The Terms and Conditions stated herein may be updated from time to time on the Site/APP and incorporated into these Terms and Conditions.

Wazobia Academy reserves the right to make changes or modifications to these Terms and Conditions at any time and for any reason and specific notice will not be given for such change or modification. It is your responsibility to periodically review these Terms and Conditions to stay informed of updates. You will be subject to, and will be deemed to have been made aware of and to have accepted, the changes in any revised Terms and Conditions before your continued use of the Site/APP after the date such revised Terms and Conditions are posted. The information provided on the APP is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject us to any registration requirement within such jurisdiction or country. Accordingly, those persons who choose to access the Site/APP from other locations do so on their own initiative and are solely responsible for compliance with local laws, if and to the extent local laws are applicable.

This Site/APP is intended for users who are at least 18 years old. Persons under the age of 18 are not permitted to register for the Site/APP.

INTELLECTUAL PROPERTY RIGHTS

Unless otherwise indicated, the Site/APP is the proprietary property of Wazobia Academy and this includes all source codes, databases, functionality, software, web designs, audio, video, text, photographs, and graphics (collectively referred to as “Content”) and the trademarks, service marks, and logos contained therein (“Marks”) are owned or controlled/licensed to Wazobia Academy, and are protected by copyright and trademark laws of the Federal Republic of Nigeria. The Content and the Marks are provided on the Site/APP is for your information and personal use only. Except as expressly provided in these Terms and Conditions, no part of the Site/APP and no Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without Wazobia Academy’s express prior written permission. Provided that you are eligible to use the Site/APP, you are granted a limited license to access and use the Site/APP and to download or print a copy of any portion of the Content to which you have properly gained access solely for your personal, non-commercial use. Wazobia Academy reserves all rights not expressly granted to you and to the Site/APP, the Contents and the Marks.

USER REPRESENTATIONS WARRANTIES

• All registration information you submit will be true, accurate, current, and complete;
• You will maintain the accuracy of such information and promptly update such registration information as necessary;
• You have the legal capacity and you agree to comply with these Terms and Conditions;
• You are not under the age of 18;
• You will not access the Site/APP through automated or non-human means, whether through a bot, script, or any other non-human means now known or hereafter devised;
• You will not use the Site/APP for any illegal or unauthorized purpose;
• Your use of the Site/APP will not violate any applicable or regulation; If you provide any information that is untrue, inaccurate not current, or incomplete, we have the right to suspend or terminate your account and refuse any and all current or future use of the Site/APP (or any portion thereof).

USER REGISTRATION

You may be required to register on the Site/APP. You agree to keep your password confidential and will be responsible for all use of your account and password. Wazobia Academy reserves the right to remove, reclaim, or change a username you select if it determine, in its sole discretion, that such username is inappropriate, obscene, or otherwise objectionable.

PROHIBITED ACTIVITIES

You may not access or use the Site/APP for any purpose other than that for which Wazobia Academy makes the Site/APP available. The Site/APP may not be used in connection with any commercial endeavours except those that are specifically endorsed or approved by Wazobia Academy. As a user of the Site/APP, you agree not to:

• Systematically retrieve data or other content from the Site/APP to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission from Wazobia Academy.
• Make any unauthorized use of the Site/APP, including collecting usernames and/or email addresses of users by electronic or other means for the purpose of sending unsolicited email, or creating use accounts by automated means or under false pretenses. • Use a buying agent to make purchases on the Site/APP.
• Use the Site/APP to advertise or offer to sell other products and services.
• Circumvent, disable, or otherwise interfere with security-related features of the Site/APP, including features that prevent or restrict the use or copying of any Content or enforce limitations on the use of the Site/APP and/or the Content contained therein.
• Engage in unauthorized framing of or linking to the Site/APP.
• Trick, defraud, or mislead Wazobia Academy and other users, especially in any attempt to learn sensitive account information such as user passwords.
• Make improper use of our support services or submit false reports of abuse or misconduct.
• Engage in any automated use of the system, such as using the scripts to send comments or messages, or using any data mining, robots, or similar data gathering and extraction tools now known or hereafter devised.
• Interfere with, disrupt, or create an undue burden on the Site/APP or the networks or services connected to the Site/APP.
• Attempt to impersonate another user or person or use the username of another user.
• Sell or otherwise transfer your profile.
• Use any information obtained from the Site/APP in order to harass, abuse, or harm another person.
• Use the Site/APP as part of any effort to compete with us or otherwise use the Site/APP and/or the Content for any revenue-generating endeavour or commercial enterprise.
• Decipher, decompile, disassemble, or reverse engineer any of the software comprising or in any way making up a part of the Site/APP.
• Attempt to bypass any measures of the Site/APP designed to prevent or restrict access to the Site/APP, or any portion of the Site/APP.
• Harass, annoy, intimidate, or threaten any of Wazobia Academy employees or agents engaged in providing any portion of the Site/APP to you.
• Delete the copyright or other proprietary rights notice from any Content.
• Copy or adapt the Site/APP’s software, including but not limited to Flash, Hard drive, JavaScript, HTML, PHP, or other code now known or hereafter devised.
• Upload or transmit (or attempt to upload or to transmit) viruses, Trojan horses, or other material, including excessive use of capital letters and spamming, that interferes with any party’s uninterrupted use and enjoyment of the Site/APP or modifies, impairs, disrupts, alters, or interferes with the use, features, functions, operation, or maintenance of the Site/APP.
• Upload or transmit (or attempt to upload or to transmit) any material that acts as a passive or active information collection or transmission mechanism, including without limitation, clear graphics interchange formats (“gifs”), 1x1 pixels, bugs, cookies, or other similar devices (sometimes referred to as “spyware”) or passive collection mechanism”.
• Except as may be the result of standard search engine or internet browser usage, use, launch, develop, or distribute any automated system, including without limitation, any spider, robot, cheat utility, scraper, or offline reader that accesses the Site/APP, or using or launching any unauthorized script or other software.
• Disparage, tarnish, or otherwise harm, in Wazobia Academy’s opinion, and on the Site/APP.
• Use the Site/APP in a manner inconsistent with any applicable laws or regulations.

USER GENERATED CONTRIBUTIONS

The Site/APP may invite you to chat, contribute to, participate in forums, message boards and other functionality, and may provide you with the opportunity to create, submit, post, display, transmit, perform, publish, distribute or broadcast content and materials to Wazobia Academy or on the Site/APP, including but not limited to writings, video, audio, photographs, graphics, comments, suggestions, or personal information or other material (collectively referred to as “Contributions”). Contributions may be viewable by other users of the Site/APP. As such, Contributions you transmit may be treated as non-confidential and non-proprietary. When you create or make available Contributions, you thereby represent and warrant that:

• The creation, distribution, transmission, public display, or performance, and the accessing, downloading, or copying of your Contributions do not and will not infringe the proprietary rights, including but not limited to the copyright, patent, trademark, trade secret, or moral rights of any third party.
• You are the creator and owner of or have the necessary licenses, rights, consents, releases, and permissions to use and to authorize Wazobia Academy, the Site/APP, and other users of the Site/APP to use your Contributions in any manner contemplated by the Site/APP and these Terms and Conditions.
• You have the written consent, release, and/or permission of each and every identifiable individual person in your Contributions to use the name or likeness of each and every such identifiable individual person to enable inclusion and use of your Contributions in any manner contemplated by the Site/APP and these Terms and Conditions.
• Your Contributions are not false, inaccurate, or misleading.
• Your Contributions are not unsolicited or unauthorized advertising, promotional materials, pyramid scheme, chain letters, spam, mass mailings, or other forms of solicitation.
• Your Contributions are not obscene, lewd, lascivious, filthy, violent, harassing, libelous, slanderous, or otherwise objectionable (as determined by Wazobia Academy).
• Your Contributions do not ridicule, mock, disparage, intimidate, or abuse anyone.
• Your Contributions do not advocate the violent overthrow of any government or incite, encourage, or threaten physical harm against another.
• Your Contributions do not violate any applicable law, regulation, or rule.
• Your Contributions do not violate the privacy or publicity rights of any third party.
• Your Contributions do not contain any material that solicits personal information from anyone under the age of 18 or exploits people under the age of 18 in a sexual or violent manner.
• Your Contributions do not violate any federal or state law concerning child pornography, or otherwise intended to protect the health or well-being of minors.
• Your Contributions do not include any offensive comments that are connected to race, national origin, gender, sexual preference, or physical handicap.
• Your Contributions do not otherwise violate, or link to material that violates, any provision of these Terms and Conditions, or any application law or regulation. Any use of the Site/APP in violation of the foregoing violates these Terms and Conditions and may result in, among other things, termination or suspension of your rights to use the Site/APP.

CONTRIBURION LICENSE

By posting your Contributions to any part of the Site/APP by linking your account from the Site/APP to any of your social networking accounts, you automatically grant, and represent and warrant that you have the right to grant, to Wazobia Academy an unrestricted, unlimited, irrevocable, perpetual, non-exclusive, transferable, royalty-free, fully-paid, worldwide right, and license to host, use, copy, reproduce, disclose, sell, resell, publish, broadcast, retitle, archive, store, cache, publicly perform, publicly display, reformat, translate, transmit, excerpt (in whole or in part), and distribute such Contributions (including, without limitation, your image and voice) for any purpose, commercial, advertising, or otherwise, and to prepare derivative works of, or incorporate into other works, such Contributions, and grant and authorize sublicenses of the foregoing.

The use and distribution may occur in any media format and through any media channel. This license will apply to any form, media, or technology now known or hereafter devised, and includes Wazobia Academy use of your name, company name, and franchise name, as applicable, and any of the trademarks, service marks, trade names, logos, and personal and commercial images that you provide. You waive all moral rights in your Contributions, and you warrant that moral rights have not otherwise been asserted in your Contributions.

Wazobia Academy does not assert any ownership over your Contributions. You retain full ownership of all of your Contributions and any intellectual property rights or other proprietary rights associated with your Contributions. Wazobia Academy shall not be liable for any statements or representations in your Contributions provided by you in any area on the Site/APP. You are solely responsible for your Contributions to the Site/APP and you expressly agree to indemnify Wazobia Academy from any and all responsibility and to refrain from any legal action against Wazobia Academy regarding your Contributions.

We have the right, in our sole and absolute discretion, (a) to edit, redact, or otherwise change any Contributions; (b) to re-categorize any contributions to place them in more appropriate locations on the Site/APP; and (c) to pre-screen or delete any Contributions at any time and for any reason, without notice. We have no obligation to monitor your Contributions. GUIDELINES FOR REVIEW We may provide you areas on the Site/APP to leave reviews or ratings. When posting a review, you must comply with the following:

• Your reviews should not contain offensive profanity, or abusive, racist, offensive, or hate language;
• Your reviews should not contain discriminatory references based on religion, race, gender, national origin, age, marital status, sexual orientation, or disability;
• Your reviews should not contain references to illegal activity;
• You should not be affiliated with competitors if posting negative reviews;
• You should not make any conclusions as to the legality of conduct;
• You may not post any false or misleading statements;
• You may not organize a campaign encouraging others to post reviews, whether positive or negative.

We may accept, reject, or remove reviews in our sole discretion. We have absolutely no obligation to screen reviews or to delete reviews, even if anyone considers reviews objectionable or inaccurate. Reviews are not endorsed by Wazobia Academy, and do not necessarily represent Wazobia Academy’s opinions or the views of any of Wazobia Academy’s affiliates or partners. Wazobia Academy does not assume liability for any review or for any claims, liabilities, or losses resulting from any review. By posting a review, you hereby grant to Wazobia Academy a perpetual, non-exclusive, worldwide, royalty-free, fully-paid, assignable, and sub-licensable right and license to reproduce, modify, translate, transmit by any means, display, perform, and/or distribute all content relating to reviews.

MOBILE APPLICATION LICENSE USER LICENSE

If you access the Site/APP via a mobile application, then we grant you a revocable, non-exclusive, non-transferable, limited right to install and use the mobile application on wireless electronic devices owned or controlled by you, and to access and use the mobile application on such devices strictly in accordance with the Terms and Conditions of this mobile application license contained in the Terms and Conditions. You shall not:

• Decompile, reverse engineer, disassemble, attempt to derive the source code of, or decrypt the application;
• Make any modification, adaptation, improvement, enhancement, translation, or derivative work from the application;
• Violate any application laws, rules, or regulations in connection with your access or use of the Site/APP;
• Remove, alter, or obscure any proprietary notice (including any notice of copyright or trademark) posted by Wazobia Academy or the licensors of the application;
• Use the application for any revenue generating endeavour, commercial enterprise, or other purpose for which it is not designed or intended;
• Make the application available over a network or other environment permitting access or use by multiple devices or users at the same time;
• Use the application for creating a product, service, or software that is, directly or indirectly, competitive with or in any way a substitute for the Site/APP;
• Use the application to send automated queries to any website or to send any unsolicited commercial e-mail;
• Use any proprietary information or any of Wazobia Academy’s interfaces or Wazobia Academy’s intellectual property in the design, development, manufacture, licensing, or distribution of any applications, accessories, or devices for use with the Site/APP.

FOR APPLE AND ANDROID DEVICES

The following Terms apply when you use a mobile application obtained from either the Apple Store or Google Play (referred to as “App Distributor) to access the Site/APP:

• The license granted to you for Wazobia Academy mobile application is limited to a non-transferable license to use the application on a device that utilizes the Apple iOS or Android operating systems, as applicable, and in accordance with the usage rules set forth in the applicable APP Distributor’s Terms and Conditions;
• Wazobia Academy is responsible for providing any maintenance and support services with respect to the mobile application as specified in the Terms and Conditions of this mobile application license contained in the Terms and Conditions or as otherwise required under applicable law, and you acknowledge that each App Distributor has no obligation whatsoever to furnish any maintenance and support services with respect to the Site/APP;
• In the event of any failure of the mobile application to conform to any applicable warranty, you may notify the applicable App Distributor, in accordance with its terms and policies, may refund the purchase price, if any, paid for the mobile application, and to the maximum extent permitted by applicable law, the App Distributor will have no warranty obligation whatsoever with respect to the mobile application;
• You represent and warrant that you are not listed on any of Nigeria government list of prohibited or restricted party;
• You must comply with applicable third-party terms of agreement when using the Site/APP;
• You acknowledge and agree that the App Distributors are third-party beneficiaries of the Terms and Conditions, and that each App Distributor will have the right (and will be deemed to have accepted the right) to enforce the Terms and Conditions in the Site/APP contained in these Terms and Conditions against you as a third-party beneficiary thereof.

TERMS OF USE FOR ONLINE PAYMENTS

• Once a User has accepted these Terms and Conditions, he/she may register and be availed the Services.
• In these Terms and Conditions, the term “Charge Back” shall mean, approved and settled credit card or net banking purchase transaction(s) which are at any refused, debited or charged back to the merchant account (and shall also include similar debits to the Payment Gateway as provided) by the acquiring bank or credit card company for any reason whatsoever, together with the bank fees, penalties and other charges incidental thereto.
• Server Slow Down/Session Timeout: In the event that the Site/APP or the Payment Service webpage, that is linked to the Site/APP, is experiencing any server related issues like “slow down” or “failure” or “session timeout”, the User shall, before initiating the second payment, check whether his/her Bank Account has been debited or not and accordingly resort to one of the following options:
• In case the Bank Account appears to be debited, ensure that he/she does not make the payment twice and immediately thereafter contact Wazobia Academy via e-mail or any other mode of contact as provided by Wazobia Academy to confirm payment.
• In the event that the Bank Account is not debited, the User may initiate a fresh transaction to make payment.
• However, the User agrees that under no circumstances shall the Payment Gateway Service Provider be held responsible for such fraudulent/duplicate transactions and hence no claims should be raised to Payment Gateway Service Provider. No communication received by the Payment Service Provider in this regards shall be entertained by the Payment Service Provider.
• Wazobia Academy and the Payment Service Provider assumes no liability whatsoever for any monetary or other damage suffered by the User on account of:- The delay, failure, interruption, or corruption of any data or information transmitted in connection with use of the Payment Gateway Service in connection thereto; and/or Any interruption or errors in the operation of the Payment Gateway.
• The User agrees, understands and confirms that his/her personal data including without limitation details relating to debit card/credit card transmitted over the internet may be susceptible to misuse, hacking, theft and/or fraud and that Wazobia Academy or the Payment Service Provider have no control over such matters.
• Although all reasonable care has been taken towards guarding against unauthorized use of any information transmitted by the User, Wazobia Academy does not represent or guarantee that the use of the Services provided by/through it will not result in theft and/or unauthorized use or authorized use of data over the Internet.
• Wazobia Academy, the Payment Service Provider and its affiliates and associates shall not be liable, at any time, for any failure of performance, error, omission, interruption, deletion, defect, delay in operation or transmission, computer virus, communications line failure, theft or destruction or unauthorized access to, alteration or, or use of information contained on the Site/APP.
• The User will be required to login his/her own User ID and Password, given by Wazobia Academy in order to register and/or use the Services provided by Wazobia Academy on the website.

By accepting these Terms and Conditions the User agrees that his/her User ID and Password are very important pieces of information and it shall be the User’s own responsibility to keep them secure and confidential. In furtherance hereof, the User agrees to: • Choose a new password, whenever required for security reasons.

• Keep his/her User ID and Password strictly confidential.
• Be responsible for any transactions made by User under such User ID and Password. Debit/Credit Card, Bank Account Details
• The User agrees that the debit/credit card details provided by him/her for use of the aforesaid Service(s) must be correct and accurate and that the User shall not use a debit/credit card, that is not lawfully owned by him/her or the use of which is not authorized by the lawful owner thereof. The User further agrees and undertakes to provide correct and valid debit/credit card details.
• The User may pay for the course(s) as described in the Site/APP by using a debit/credit card or through online banking account on the APP. The User warrants, agrees and confirms that when he/she initiates a payment transaction and/or issues an online payment transaction and provides his/her card/bank details:
• The User is fully and lawfully entitled to use such credit/debit card, bank account for such transactions;
• The User is responsible to ensure that the card/bank account details provided by him/her are accurate;
• The User is authorizing debit of the nominated card/bank account for the payment of courses selected by such User along with the applicable fee.
• The User is responsible to ensure sufficient credit as available on the nominated card/bank account at the time of making the payment to permit the payment of the dues payable or the bill(s) selected by the User inclusive of the applicable fee.

PAYMENT GATEWAY DISCLAIMER

The Payment Service is provided by Wazobia Academy in order to facilitate access to view and make payments online. Wazobia Academy or the Payment Service Provider(s) do not make any representation of any kind, express or implied, as to the operation of the Payment Gateway other than what is specified in the website for this purpose. By accepting/agreeing to these Terms and Conditions, the User expressly agrees that his/her use of the aforesaid online payment Service is entirely at own risk and responsibility of the User.

CANCELLATION POLICY

Once the User will be registered and paid the fee through the provided Payment Gateway. He/She will not be able to cancel the transaction in any circumstances. No payment will be refunded to the User in any circumstance except the User strictly follows the timeframe stated for such claims.

PAYMENT REFUND POLICY FOR ONLINE PAYMENTS REFUND FOR CHARGE BACK TRANSACTION

In the event there is any claim for/of charge back by the User for any reason whatsoever, such User shall within three (3) days approach Wazobia Academy with his/her claim details and claim refund from Wazobia Academy alone. Such refund (if any) shall be effected only by Wazobia Academy after same has been proved, via the Payment gateway or any other means as Wazobia Academy deems appropriate. No claims for refund/charge back shall be made to the Payment Service Provider and in the event such claim is made it shall not be entertained. Furthermore, a User must bring a claim of refund/chargeback within three (3) months from the day the event occurred. In the event that the claim is brought later than three (3) months, such claim shall not be entertained and no refund shall be paid.

REFUND FOR DUPLICATE TRANSACTIONS

The User shall directly contact Wazobia Academy for any fraudulent transaction(s) on account of misuse of card/bank details by a fraudulent individual/party and such issues shall be suitably addressed by Wazobia Academy alone in line with their policies and rules.

SOCIAL MEDIA

As part of the functionality of the Site/APP, you may link your account with online accounts you have with third-party service providers by either: (a) providing your third-party account login information through the Site/APP; or (b) allowing Wazobia Academy to access your third-party account, as is permitted under the applicable terms and conditions that govern your use of each third-party account. You represent and warrant that you are entitled to disclose your third-party account login information to Wazobia Academy and/or grant Wazobia Academy access to your third-party account, without breach by you of any of the terms and conditions that govern your use of the applicable third-party account, and without obligating Wazobia Academy to pay any fees or making Wazobia Academy subject to any usage limitations imposed by the third-party service provider of the third-party account. By granting Wazobia Academy access to any third-party accounts, you understand that (a) Wazobia Academy may access, make available, and store (if applicable) any content that you have provided to and stored in your third-party account (the “Social Network Content”) so that it is available on and through the Site/APP via your account, including without limitation any friend lists and (b) Wazobia Academy may submit to and receive from your third-party account additional information to the extent you are notified when you link your account with the third-party account. Depending on the third-party accounts you choose and subject to the privacy settings that you have set in such third-party accounts, personally identifiable information that you post to your third-party accounts may be available on and through your account on the Site/APP.

Please note that if a third-party account or associated service becomes unavailable or Wazobia Academy’s access to such third-party account is terminated by the third-party service provider, then Social Network Content may no longer be available on and through the Site/APP. You will have the ability to disable the connection between your account on the Site/APP and your third-party accounts at any time. PLEASE NOTE THAT YOUR RELATIONSHIP WITH THE THIRD-PARTY SERVCE PROVIDERS ASSOCIATED WITH YOUR THIRD-PARTY ACCOUNTS IS GOVERNED SOLELY BY YOUR AGREEMENT(S) WITH SUCH THIRD-PARTY SERVICE PROVIDERS. Wazobia Academy makes no effort to review any Social Network Content for any purpose, including but not limited to, for accuracy, legality, or non-infringement, and Wazobia Academy will not be responsible for any Social Network Content. You acknowledge and agree that we may access your email address book associated with a third-party account and your contacts list stored on your mobile device or tablet computer solely for purposes of identifying and informing you of those contacts who have also registered to use the Site/APP. You can deactivate the connection between the APP by contacting Wazobia Academy using the contact information below or through your account settings (if applicable). Wazobia Academy will attempt to delete any information stored on the Wazobia Academy servers that was obtained through such third-party account, except the username and profile picture that become associated with your account. SUBMISSIONS You acknowledge and agree that any questions, comments, suggestions, ideas, feedback, or other information regarding the Wazobia Academy website/APP (“Submissions”) provided by you to Wazobia Academy are non-confidential and shall become the sole property of Wazobia Academy. Wazobia Academy shall own exclusive rights, including all intellectual property rights, and shall be entitled to the unrestricted use and dissemination of these Submissions for any lawful purpose, commercial or otherwise, without acknowledgment or compensation to you. You hereby waive all moral rights to any such Submissions, and you hereby warrant that any such Submissions are original with you or that you have the right to submit such Submissions. You agree there shall be no recourse against us for any alleged or actual infringement or misappropriation of any proprietary right in your Submissions.

THIRD-PARTY WEBSITES AND CONTENT

The Site/APP may contain (or you may be sent via the Site/APP) as well as articles, photographs, text, graphics, pictures, designs, music, sound, video, information, applications, software, and other content or items belonging to originating from third parties (“Third-Party Content”).
